Description

This document outlines a Special Power of Attorney that grants the Attorney-in-Fact (AIF) authority to act on behalf of the Company in matters related to real estate transactions. The key provisions include:

  1. Authority to Buy/Sell Property: The AIF can acquire, sell, or dispose of properties or interests therein through various methods (cash, credit, exchange, etc.) and execute necessary legal documents.
  2. Contractual and Property Management Powers: The AIF can handle contracts, including modification or cancellation, manage properties, perform repairs or construction, and handle government filings related to the property.
  3. Legal Proceedings: The AIF can initiate, defend, settle, or otherwise handle legal actions (e.g., foreclosure, liens, code enforcement) concerning the property and hire legal counsel as needed.
  4. Fiduciary Duties: The AIF agrees to act in the best interests of the Company or Trust and confirms their acceptance of these responsibilities.
  5. Revocation Terms: The power can be revoked by the grantor at any time and automatically ends upon the death or incapacitation of the grantor. However, actions taken before notice of such revocation remain valid.

The document ensures the AIF has broad powers to manage, transact, and litigate property-related matters on behalf of the Company or Trust while retaining fiduciary responsibility.
